Fairfax Financial to Acquire Major Stake in IDBI Bank: A Move to Boost Privatization Efforts
New Delhi, Oct. 14 – Fairfax Financial Holdings, led by Canadian billionaire Prem Watsa, is set to acquire a significant 60.72% share in IDBI Bank for around ₹53,000 crore (approximately $5.5 billion). This deal is poised to be the largest foreign investment in an Indian bank and represents a substantial step forward in the government’s plan to privatize its banking sector.
The Cabinet Committee on Economic Affairs (CCEA) has endorsed Fairfax’s subsidiary, M/s 10955230 Canada Inc, as the primary buyer for this acquisition. The deal involves purchasing the government’s 30.48% stake in IDBI Bank, estimated at about ₹26,620 crore, along with a 30.24% share owned by the Life Insurance Corporation of India (LIC), valued at around ₹26,440 crore.
This sale is anticipated to diminish government ownership in the bank and accelerate the long-awaited privatization process.
Fairfax already holds a 40% stake in CSB Bank, a lender based in Kerala. The acquisition of a controlling interest in IDBI Bank leads to questions about how the company will manage substantial stakes in both banks.
According to the Reserve Bank of India (RBI) rules, promoters can typically hold a maximum of 26% in a bank. Therefore, Fairfax will need to navigate regulatory requirements regarding its investment in CSB Bank alongside the new acquisition of IDBI Bank.
The company might need to adjust its holdings, possibly by merging or exiting its position in CSB Bank, based on the regulatory review and the conditions set by authorities.
The acquisition is still in the preliminary stages and must receive approvals from the RBI, the Competition Commission of India (CCI), and other regulatory bodies.
The RBI will conduct an assessment to ensure the buyer is suitable. Fairfax must demonstrate its qualifications and present a plan detailing how it will meet the central bank’s regulations before finalizing the transaction.
Additionally, Fairfax is expected to make an open offer to IDBI Bank’s public shareholders unless an exemption is granted by the Securities and Exchange Board of India (SEBI).
Fairfax has proposed ₹81 per share for IDBI Bank, which is above the independent valuation benchmark of ₹75.99 set by two evaluation agencies, as noted in an official statement.
The transaction signifies a significant step in the government’s efforts to privatize IDBI Bank and reduce state ownership in commercial operations.
The sale process, which began in 2022, faced delays, particularly earlier this year when initial bids reportedly did not meet the government’s reserve price.
If completed, this acquisition will represent a major change in ownership for IDBI Bank, pending regulatory approvals.
Following the announcement, IDBI Bank’s shares surged, rising by 9.07% to close at ₹90.44 on the Bombay Stock Exchange (BSE).
Union Finance Minister Nirmala Sitharaman hailed the transaction as a “milestone,” emphasizing that “having supported the bank’s recovery, we are now enabling its next phase of growth through the infusion of Foreign Direct Investment while retaining a minority stake.”
She stated, “This will not only strengthen the banking sector but also help banking services reach global benchmarks. It reaffirms that India’s growth trajectory is strong, its economy resilient, and the government’s commitment to reforms steadfast.”
