Soulpower Acquisition Corporation Announces Major Business Deal for SOUL WORLD BANK
New York, November 24, 2025 – Soulpower Acquisition Corporation (NYSE: SOUL) has officially announced a significant business deal with SWB LLC, a new company based in the Cayman Islands. This deal will help establish SOUL WORLD BANK™ (“SOUL”), a modern financial services organization that plans to issue stablecoins and operate as an international bank.
Soulpower, a company focused on financial services, previously raised $250 million in its initial public offering (IPO) in April 2025. Under the new agreement, the resulting public company will be known as SWB Holdings and will aim to trade on the New York Stock Exchange under the “SOUL” ticker symbol. Justin Lafazan, the CEO of Soulpower, will take on the roles of Chairman and CEO of the new public entity.
In expressing his excitement about the project, Lafazan stated, “People are tired of traditional banks. Our model leverages technology such as AI and tokenization, making banking accessible for everyone. We want SOUL to be the go-to bank for the everyday individual.”
As part of this business combination, shareholders of Soulpower will receive non-voting shares of SWB Holdings. Additionally, SWB has secured agreements to contribute roughly $6.75 billion in assets, aiming to enhance its value before the official closing of the deal, projected for the first quarter of 2026.
The company has also formed various agreements to bolster its offerings, including:
- Bank License Acquisition – SWB is in the process of obtaining a banking license in the British Virgin Islands.
- Collaboration with Animoca Brands – A partnership to create a cross-border stablecoin.
- Asset Contributions – Agreements for the inclusion of several real-world assets, including land and mining rights in the U.S., Germany, and South Africa.
Moreover, a substantial equity facility of $5 billion has been established through investment from CREO Investments LLC, which will support the company’s growth after the deal closes.
SOUL WORLD BANK™ aims to offer a diverse range of international financial services. Its significant asset portfolio is designed to provide stability while also exploring innovative financing methods like asset tokenization.
To align all stakeholders, SWB and its equity holders have agreed to a minimum lock-up period for their shares. This is intended to maintain stability and confidence in the company’s future after the business combination.
This transaction has received unanimous approval from both companies’ boards, and further approvals are anticipated from Soulpower shareholders. Shares of Soulpower will continue to trade on the NYSE under the “SOUL” ticker until the deal is finalized.
